Whacha is an AI-powered productivity assistant accessible through WhatsApp that helps you:

• Set and manage reminders (one-time and recurring)
• Create and share lists
• Take and organize notes
• Store and manage documents
• Integrate with Google Calendar
• Receive daily digests and notifications

3. Eligibility

You must be at least 13 years old to use Whacha. By using the Service, you represent and warrant that:

• You are at least 13 years of age
• You have the right, authority, and capacity to enter into these Terms
• You will comply with all applicable laws and regulations

4. Account Registration and Security

4.1 Account Creation

To use Whacha, you need:

• A valid WhatsApp account
• A working phone number
• To provide your name for personalization

4.2 Account Security

You are responsible for:

• Maintaining the security of your WhatsApp account
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

5. Acceptable Use Policy

5.1 You May:

6. Subscription Plans and Payments

6.1 Free Plan

Whacha offers a free plan with limited features. Free plan limitations include:

• Limited number of reminders per month
• Limited shared lists
• Basic note features

6.2 Paid Plans

Paid subscriptions (Pro, Team) offer:

• Unlimited reminders and lists
• Advanced AI features
• Document storage
• Priority support

6.3 Billing

• Payment: Subscriptions are billed monthly or annually in advance
• Auto-Renewal: Subscriptions automatically renew unless cancelled
• Cancellation: You may cancel anytime; access continues until the end of the billing period
• Refunds: Refunds are provided on a case-by-case basis within 14 days of purchase
• Price Changes: We'll notify you 30 days before any price increases

7. Content and Intellectual Property

7.1 Your Content

You retain all rights to the content you create (reminders, lists, notes, documents). By using Whacha, you grant us a license to:

• Store and process your content to provide the Service
• Back up your content for reliability and disaster recovery
• Use AI to analyze and improve your experience

7.2 Our Content

Whacha and its original content, features, and functionality are owned by us and are protected by international copyright, trademark, and other intellectual property laws.

8. AI and Data Processing

Whacha uses artificial intelligence to provide smart features:

• Natural Language Processing: We use AI models (OpenAI GPT) to understand your requests
• Accuracy: AI may occasionally misinterpret requests. Always verify important information
• Learning: Our AI improves over time based on aggregate usage patterns (not individual data)
• Limitations: AI cannot handle all edge cases perfectly; use at your own judgment

9. Third-Party Services

Whacha integrates with third-party services:

• WhatsApp: Subject to Meta's Terms of Service
• Google Calendar: Subject to Google's Terms of Service
• OpenAI: Subject to OpenAI's Usage Policies

We are not responsible for these third-party services' availability, accuracy, or policies.

10. Service Availability and Changes

10.1 Service Availability

We strive for 99.9% uptime but cannot guarantee uninterrupted service. We may:

• Perform scheduled maintenance (with advance notice)
• Experience occasional downtime
• Modify or discontinue features

10.2 Service Changes

We reserve the right to:

• Modify features and functionality
• Add or remove integrations
• Change pricing with 30 days notice

11. Termination

11.1 By You

You may delete your account anytime by messaging us or through the dashboard. Upon deletion:

• Your subscription will be cancelled (no refunds for partial periods)
• Your data will be permanently deleted within 30 days
• You will no longer receive notifications

11.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or illegal activity

12. Disclaimers and Limitations of Liability

• AI interpretations will always be accurate
• Reminders will always be delivered on time
• Your data will never be lost (though we take backups seriously)

12.2 Limitation of Liability

To the maximum extent permitted by law, Whacha and its affiliates will not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or goodwill
• Missed reminders or appointments
• Damages exceeding the amount you paid us in the last 12 months

13. Indemnification

You agree to indemnify and hold harmless Whacha, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your content or conduct

14. Dispute Resolution

14.1 Informal Resolution

If you have a dispute, please contact us first at support@heywhacha.com. We'll try to resolve it informally.

14.2 Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

14.3 Arbitration

Any disputes not resolved informally will be settled through binding arbitration in Bangalore, India, rather than in court.

15. Changes to Terms

We may modify these Terms from time to time. If we make material changes, we will:

• Update the "Last Updated" date
• Post a notice on our website

Your continued use after changes constitutes acceptance of the new Terms.

16. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Whacha
• Severability: If any provision is found invalid, the remaining provisions continue in effect
• No Waiver: Our failure to enforce any right doesn't waive that right
• Assignment: You may not assign these Terms; we may assign them to any successor
• Force Majeure: We're not liable for delays due to circumstances beyond our control
